1. Introduction

KVD Kvarndammen AB has more than 15 years' experience of selling vehicles and other property at auction. Bidding usually takes place on the internet, but KVD sometimes also organises on-site auctions.

2. KVD's role

KVD values and sells property as a commercial agent for fleet owners, financing and insurance companies, private companies, receivers, the government, local councils and public authorities. As is the case with all other auction houses, KVD's role is to act as an agent, for a commission, between sellers of the property (clients) and buyers. KVD does not sell or buy items on its own account.

3. Online auctions

Online auctions are held weekly at www.kvarndammen.se (www.kvd.se). The bidding is completely open, and anyone can follow the auction online.

To make a bid, the bidder must first register as a member.

Bids can be made at any time until the auctions close.

For each auction item, a time is stated from which the countdown to the auction begins. If a new bid is received within approximately three minutes and 30 seconds of this time, the auction continues and the auction period is extended by an equal amount of time. If no new bids are made during these three minutes and 30 seconds, the auction is closed. The time at which the auction ends is therefore not fixed.

After the auction, KVD contacts the winning bidder by e-mail or telephone to confirm the bid. KVD and the highest bidder also come to an agreement about paying the down payment, the date of delivery, etc.

Successful bidders are obliged to be ready to answer their phone and to read their e-mails once the auction has ended. If, despite repeated attempts, KVD is not able to contact the successful bidder by the working day after the auction at the latest, KVD has the right to charge a bidding fee and to offer other bidders the chance to bid for the item, unless otherwise specified.

KVD is not liable for damage, loss or consequential loss that may be suffered by the bidder or client owing to technical faults, communications problems, etc. Furthermore, KVD is not liable for bids not being registered, for the inability to contact the bidder after the bidding has closed, for the wrong bidder being contacted, or for the item being sold to someone other than the highest bidder.

Nor is KVD responsible for damage, loss or consequential loss that may be suffered by the bidder or client as a result of an incorrect reserve price being noted in KVD's internal system, or for the reserve price not having been approved by the client, resulting in the auction needing to be reheld.

4. Direct Auction Sales

Some auction items are sold via Direct Auction Sales. This means that the item remains with the client and is delivered by the client directly to the buyer.

In Direct Auction Sales, the auction item may in certain cases be tested and described by clients themselves. Tests and descriptions are always carried out using KVD's templates and systems.

The same auction terms and payment procedures apply to items sold via Direct Auction Sales as to KVD's other items.

5. On-site auction

On-site auctions – that is, traditional auctions – are held at KVD in Gothenburg and at other locations, for example at receivers' facilities. Items for sale are not tested as comprehensively prior to on-site auctions as they are prior to online auctions. Parties who are interested in an item need to form their own opinion of the item when it is displayed and test-driven on-site. All items are sold 'as is' at these auctions, with the online information providing only a general overview.

6. Auction items

Auction items (vehicles and other property) are usually available for viewing and delivery at KVD's facilities or branches.

Unless otherwise stated, auction items have been inspected and tested by valuers or other specialists.

Auction items are usually used items, and their descriptions should be as true and correct as possible, while being clear and easy to understand.

Not all of the detailed information in the descriptions of auction items can be guaranteed. Buyers must check the condition of an item themselves when viewing or collecting it, and should confirm that the condition of an item meets their reasonable expectations in light of the item description.

Cars are to be described in accordance with the Swedish Consumer Agency's guidelines for manifests of used cars (KOVFS 2002:1).

KVD's descriptions of the used cars sold at online auctions are available at the viewings.

There are no descriptions for vehicles sold on behalf of the Swedish Enforcement Authority or receivers, nor for vehicles registered as lorries or vehicles with an estimated sales value of less than SEK 15,000.

7. Sellers

Sellers are companies, public authorities and other organisations that appoint KVD to sell vehicles and other property.

KVD guarantees that the items sold at auction are paid in full, are not pledged, and that no outstanding debts in relation to the items exist. KVD also guarantees that items for sale are not encumbered by tax debts.

KVD represents the seller in the event of queries and complaints.

The seller is not bound to accept the highest or any bid, and is at liberty to cancel the sale due to technical problems, misprints or for other reasons.

8. Buyers

Winning bidders are always bound by their bids, even if the reserve price is not reached.

Successful bidders have the right (option) to buy the item if the reserve price is achieved.

In the event of identical bids or bidding disputes, KVD has the sole right to make a final decision on which bid is given preference.

Those bidding for other parties bear the full responsibility for completing the purchase in the same way as those bidding on their own behalf.

Buyers can be both private individuals (consumers) and companies (tradespeople). Different terms and sales legislation rules apply to consumers and tradespeople respectively.

Buyers who choose to take part in the auctions must adhere to KVD's regulations and instructions. Buyers must plan in advance how the purchase is to be financed and must have formed their own view about the fair purchase price.

Buyers must, either in person or through a proxy, inspect and approve on-site the sales items they have purchased at the auction. Following this inspection and approval, a purchase agreement can be signed that is binding on the seller and the buyer.

If the highest bidder fails to inspect the purchased items on-site within the stated or agreed time, that bidder will be charged a bidding fee. If the highest bidder ordered transport of the auction item from one KVD facility to another the buyer will also be charged the transport cost.

The highest bidder must also pay this bidding fee if that bidder inspects the purchased item at the auction house but then refuses to complete the purchase without reasonable grounds. Reasonable grounds include the item being impaired by significant defects or shortcomings that are not declared in KVD's item description. If the highest bidder ordered transport of the auction item from one KVD facility to another the buyer will also be charged the transport cost.

The buyer has no right to transfer the option to buy an item or to nominate another buyer.

9. Reserve price, list price and opening price

A reserve price often applies to vehicles and other auction items. If the reserve price has not been met, the client reserves the right to approve the highest bid. In many cases, negotiations will take place after the auction and the buyer will be informed within 24 hours. If the reserve price is met (this appears as 'Yes' under the bidding tab) the buyer has the right (option) to purchase the auction item at an agreed price.

The list price given online indicates what a dealer is asking for a similar item in 'mint' condition (without any remarks and possibly with a warranty). The opening price is generally 60 percent of the list price of the item in normal condition. Buyers must decide for themselves the price at which they wish to purchase the item.

10. Bidding fee

A bidding fee is charged for the purchase of vehicles and other auction items. The amount of this fee is stated for each item under the bidding tab.

11. Written bids

KVD do not accept written bids.

Bidders who do not have access to a computer with Internet can be offered the opportunity to bid at one of KVD's auction facilities.

Bidder shall, in these cases, in advance of the auction contact KVD to agree on which of KVD's facilities he or she must come to before the bidding. During the auction the bidder may have assistance of KVD's staff.

12. Down payment

After a bid has been accepted, the successful bidder must make a down payment within three working days of the auction, unless otherwise agreed. If this down payment is not paid within the agreed period, KVD has the right to offer the item to other bidders.

The down payment will be refunded if, on receipt of the item, the buyer finds that it differs to a significant degree from the description, and KVD does not remedy this or reduce the price accordingly.

The minimum down payment is 10 percent of the purchase price, or SEK 4,000, whichever is higher. In the case of items sold on behalf of the Swedish Enforcement Authority, the down payment is 25 percent of the purchase price. For on-site auctions, the down payment must be paid immediately after the bidder has won the auction.

13. Payment in full and delivery

Before the auction item is delivered, the buyer or the buyer's representative must inspect and approve the auction item at the auction house. A purchase agreement is then signed, which is binding on both parties.

Confirmation of delivery and payment in full of the amount due, along with all associated fees, must be made within five working days of the auction (unless another agreement has been reached).

Vehicles and other auction items must be paid in full prior to collection.

14. Reregistration and insurance of vehicles

All vehicles registered in the Swedish vehicle register are re-registered with the buyer, and insurance is arranged upon delivery. KVD is linked to the vehicle register, and KVD registers the vehicle as being roadworthy if its use has not been prohibited and no other obstacles to registration exist. The buyer receives a vehicle tax credit at the same time.

The vehicle is registered with the buyer as soon as possible, which is normally immediately.

In some cases re-registration can take up to two weeks, due to the vehicle having a 'leasing block'. This does not, however, affect the buyer's right of possession or opportunity to use the vehicle.

15. The buyer's duty to inspect

It is the buyer's duty to check that the condition of auction item reflects their reasonable expectations in light of the item description.

Buyers who have made a bid online must closely inspect the item upon delivery, and check that it corresponds with KVD's description. For on-site auctions, an inspection must be made before the bidding commences.

Used items may have defects. This is something the buyer must take into account. Under the Swedish Consumer Sales Act, a used item sold at auction is assumed to be sold 'as is'. This means that the item is sold on the basis of the condition it was in at the time of purchase. The seller is only liable for defects that are discovered after the time of purchase if the defect was present at the time of purchase.

The seller is not liable for defects or damage that the buyer should reasonably have noticed at the viewing prior to the auction, or on collection. Similarly, the seller is not liable in relation to defects stated in the description of the item, either online or on-site. Purchase through the auction process entails greater risk for the buyer, but at the same provides the possibility for making a 'good deal'.

Bear in mind that normal wear and tear is acceptable in a legal sense. The seller is only liable for defects in the item sold at auction if the item is significantly more worn than could reasonably be expected, taking into account the item's age, mileage, sphere of usage, the description of the item, and other factors.

Remember that the information presented online about the auction item is intended to be easily accessible and clear. KVD's tests focus on safety issues and technical functioning, while matters primarily of a cosmetic nature are described in summary form.

16. Printing and typing errors, and technical faults or problems

KVD cannot be held liable for any printing or typing errors on its web pages, nor can KVD guarantee that all pictures are a true and exact representation of the appearance of the products.

KVD has the right to refuse sale, ignore bids from certain bidders and decide whether bidding will be reheld as a result of uncertainty about the final bid, technical problems, typing errors or other reasons.

KVD is not liable for costs, loss or consequential loss that may be suffered by the bidder or client as a result of the above or to the bid not being registered, computer errors, communications problems etc.

In the event of technical problems with KVD's website that mean that a fair bidding process cannot take place, the auction will usually be reheld within 24 hours. The relevant bidders are notified in such circumstances.

17. The seller's liability with respect to defective items

KVD represents sellers in the matter of liability for defects in sales items. KVD is responsible, along with the sellers, for the sale items being free of unpaid taxes and other debts.

Under the Swedish Consumer Sales Act, the seller is liable if the item is in a worse condition than the buyer could reasonably have expected, taking into account the price of the item and other particulars. Since it is the buyer that determines the end price at auction, there can be no consideration of any suggestion of the item being sold at an excessive price.

Sellers and KVD are obliged to disclose any defects or negative factors of which they are aware. The seller is not liable for an item's normal wear and tear, nor for defects that the buyer is aware of or should be aware of; for example defects that the buyer should have seen or discovered when viewing or test-driving the item.

The seller is not responsible for defects in an auction item if the item is sold as an item requiring repairs, even if the item has more widespread defects, or different defects, than those disclosed prior to the auction.

Neither the seller nor KVD are liable for defects in items sold on behalf of the Swedish Enforcement Authority, on behalf of receivers, or in the event of other types of forced sale. The Swedish Consumer Sales Act does not apply to these items, and they do not need to be accompanied by a goods manifest.

Items for sale at auction are sold 'as is'; that is, an item is sold on the basis of the condition it is in when the auction takes place. The seller is not liable for defects that are discovered after purchase.

18. Confirmation of delivery required from tradespeople

It is critically important that buyers who are tradespeople inspect the auction item prior to, or at the time of, item collection, as complaints from tradespeople cannot be considered once the item has been delivered.

Tradespeople who collect the item through a representative or through a transport company cannot approve the item at a later date; they must do this in advance using a 'delivery confirmation slip'.

19. Complaints

Buyers must immediately lodge a complaint with KVD if they discover any defects in an item. Complaints must be made via email to kundtjanst@kvd.se.

In the event of a complaint, KVD must always be notified before any form of repair is carried out on an item. In such cases, a cost estimate must be sent to KVD. This is so that KVD has the opportunity to first evaluate and approve the estimate, or possibly remedy the defect through its own resources.

If the buyer is a tradesperson, complaints must be lodged before the item is dispatched from KVD's sales office. Complaints received from tradespeople after an item has been collected are not considered – so it is critically important that tradespeople inspect the auction item before it leaves KVD's sales office.

KVD is entitled to remedy defects in items sold for which the seller is liable. KVD is also entitled to replace the sold item with another equivalent item. If the defect is not remedied within a reasonable time of the complaint being made, the buyer is entitled to cancel the purchase and to a refund of the sum paid, after the item has been returned. No compensation is payable to the buyer for travel expenses or other costs. Please note that no discounts are available when purchasing used items at auction.

In the event of major defects being discovered in a purchased item, KVD reserves the right to repurchase the item at the auction price, with a deduction made for any wear and tear to the item.

The buyer also has the opportunity to cancel the purchase and to be refunded the purchase price. If the buyer is to be compensated for their direct costs, such as travel expenses, these must be verified by the buyer through receipts, or in some other acceptable manner.

Where vehicles are being returned as a result of a cancelled purchase in such circumstances, vehicles which show more than 2,000 km on the odometer will be subject to a SEK 1 per km deduction from the purchase refund.

20. Value-added tax

Passenger vehicles are sold inclusive of VAT, unless otherwise stated. Information about whether the bidding is inclusive or exclusive of VAT is available under the bidding tab.

Other vehicles and other items are normally sold exclusive of VAT, since these auctions are mainly aimed at tradespeople. Information about whether the bidding is inclusive or exclusive of VAT is available under the bidding tab.

Tradespeople are responsible for checking whether the VAT on a sale item is deductible for tax purposes in relation to their business.

Tradespeople should obtain their own professional advice in relation to tax regulations and the circumstances in which they may deduct VAT.

21. Terms of payment
Payment may be made through any of the following methods:
  • Financing via KVD. Please note that an application for credit can be made before the auction item is collected, or prior to bidding through a loan pledge. More information is available under the Financing tab beside each item.

The following methods of payment are not accepted:
  • Credit cards
  • Cash
  • Banker's draft
  • Cheque
  • Swedbank's Business card

22. Late payment on the part of the buyer
Auction items are to be paid in full within five working days of the auction, unless otherwise agreed. If payment is not made in full, KVD is entitled to take one or more of the following actions:

  • Demand payment and charge late payment interest, which is the official reference rate of interest set by the Swedish central bank, 'Riksbank', plus 8 percent.
  • Cancel the purchase and charge the buyer the bidding fee.

In all cases, KVD is entitled to compensation for the costs of storage, transport, required repairs, sales overheads, insurance and other costs attributable to the item.

23. Late collection of the item on the part of the buyer

Rent of SEK 300 per item per day is charged for auction items that have not been collected within five working days, unless otherwise agreed by the parties. KVD is entitled to take the following actions for items that have not been collected within 30 working days:

  • Send the item to the buyer at the buyer's expense.
  • Cancel the purchase and demand compensation in accordance with applicable sales legislation. KVD is entitled to claim compensation – and to extract this from the proceeds of sale – for costs arising from the agreement and from cancellation, and for other losses as specified in applicable sales legislation.
24. Supplementary services: vehicle warranty, financing, insurance, transport, etc.

KVD acts as an agent for suppliers of a number of supplementary services. More information is available on our website under 'Other services', and in the information provided on each item. Suppliers and buyers are responsible for signing separate agreements for these services. KVD only provides information about these services.

25. Terms of sales to countries outside Sweden

In addition to the terms stated above, the following terms apply to auction items for export.

Sales to companies in the EU with a valid VAT number:

  • The buyer must state a valid VAT number, which is checked by KVD via http://ec.europa.eu/taxation_customs/vies/vieshome.do?selectedLanguage=EN
  • The buyer pays no Swedish VAT on bidding fees, transport and other services within Sweden; the acquisition of services is to be taxed in the buyer’s own country.
  • If the VAT number is approved, the buyer pays no Swedish VAT; the acquisition is to be taxed in the buyer’s own country.
  • However, for purchases on collection, VAT on both goods and services must be deposited until confirmation has been obtained that the item has left Sweden.
  • The deposit on registered vehicles is always at least SEK 6,000 independent of the VAT level, but the deposit may be higher, although no greater than 25% of the sum of the total acquisition of goods and services.
  • The deposit on non-registered objects is always at least SEK 1,000 independent of the VAT level, but the deposit may be higher, although no greater than 25% of the sum of the total acquisition of goods and services.
  • If the object does not have deductible VAT, the following applies: Registered objects – SEK 6,000 deposit. Non-registered objects – no deposit.
  • The deposit is returned when KVD has obtained confirmation that the item has permanently left Sweden. KVD must have obtained this confirmation no later than 15 days after the date on the receipt.
  • The buyer must state to KVD the IBAN number, SWIFT code and the account holder’s correct name when collecting the item, so that KVD can return the deposit as soon as possible after confirmation has been obtained of the item leaving Sweden.
  • When the item is delivered, buyers or couriers must be able to identify themselves with official identification, such as a driving licence or passport.
  • Copies of documentation evidencing company registration and VAT registration, stating who is entitled to sign on behalf of the company, must be presented.
  • If the buyer uses a courier to collect the item, the courier must have authorisation to sign the delivery confirmation slip and receipt.
  • Vehicles are equipped with Swedish number plates. Therefore under Swedish law, vehicles must be transported from KVD’s facilities on another vehicle or trailer, or be fitted with temporary number plates. The buyer can apply for such plates on a form from the Swedish Road Administration that is to be sent to KVD (processing takes around 14 days). Temporary number plates cannot, however, be issued for all vehicles. You should therefore check with KVD’s customer service what applies to the vehicle in question. A vehicle’s documents and Swedish registration certificate are handed over to the buyer or courier when the item is collected.
  • If the item is collected with a forwarder’s warranty or similar from a freight company, a deposit is not necessary.

Sales to companies in the EU without a valid VAT number:

  • The buyer is always liable for the VAT applicable on bidding fees and on transport and other services within Sweden.
  • The buyer is always liable to pay Swedish VAT on the item.
  • A deposit of SEK 6,000 is payable for registered items; no deposit is payable for non-registered items.
  • The deposit is returned when KVD has obtained confirmation that the item has left Sweden. KVD must have obtained this confirmation no later than 15 days after the date on the receipt.
  • The buyer must state to KVD the IBAN number, SWIFT code and the account holder’s correct name when collecting the item, so that KVD can return the deposit as soon as possible after confirmation has been obtained of the item leaving Sweden.
  • When the item is delivered, buyers or couriers must be able to identify themselves with official identification, such as a driving licence or passport.
  • If the buyer uses a courier to collect the item, the courier must have authorisation to sign the delivery confirmation slip and receipt.
  • Vehicles are equipped with Swedish number plates. Therefore under Swedish law, vehicles must be transported from KVD’s facilities on another vehicle or trailer, or be fitted with temporary number plates. The buyer can apply for such plates on a form from the Swedish Road Administration that is to be sent to KVD (processing takes around 14 days). Temporary number plates cannot, however, be issued for all vehicles. You should therefore check with KVD’s customer service what applies to the vehicle in question. Sales in the EU to private individuals:

  • The buyer is always liable for the VAT applicable on bidding fees and on transport and other services within Sweden.
  • The buyer is always liable to pay Swedish VAT on the item.
  • A deposit of SEK 6,000 is payable for registered items; no deposit is payable for non-registered items.
  • The deposit is returned when KVD has obtained confirmation that the item has left Sweden. KVD must have obtained this confirmation no later than 15 days after the date on the receipt.
  • The buyer must state to KVD the IBAN number, SWIFT code and the account holder’s correct name when collecting the item, so that KVD can return the deposit as soon as possible after confirmation has been obtained of the item leaving Sweden.
  • When the item is delivered, buyers or couriers must be able to identify themselves with official identification, such as a driving licence or passport.
  • If the buyer uses a courier to collect the item, the courier must have authorisation to sign the delivery confirmation slip and receipt.
  • Vehicles are equipped with Swedish number plates. Exports to private individuals outside the EU and to the Åland Islands:

  • The buyer is liable for Swedish VAT applicable on bidding fees and on transport and other services within Sweden.
  • The deposit on registered vehicles is always at least SEK 6,000 independent of the VAT level, but the deposit may be higher, although no greater than 25% of the sum of the total acquisition of goods and services.
  • The deposit on non-registered objects is always at least SEK 1,000 independent of the VAT level, but the deposit may be higher, although no greater than 25% of the sum of the total acquisition of goods and services.
  • The deposit is returned when KVD has obtained confirmation that the item has left Sweden. KVD must have obtained this confirmation no later than 15 days after the date on the receipt.
  • If VAT cannot be deducted from the item, a deposit of SEK 6,000 is always payable for registered items, while no deposit is payable for non-registered items.
  • The buyer must state to KVD the IBAN number, SWIFT code and the account holder’s correct name when collecting the item, so that KVD can return the deposit as soon as possible after confirmation has been obtained of the item leaving Sweden.
  • When the item is delivered, buyers or couriers must be able to identify themselves with official identification, such as a driving licence or passport.
  • If the buyer uses a courier to collect the item, the courier must have authorisation to sign the delivery confirmation slip and receipt.
  • Vehicles are equipped with Swedish number plates. Therefore under Swedish law, vehicles must be transported from KVD’s facilities on another vehicle or trailer, or be fitted with temporary number plates. The buyer can apply for such plates on a form from the Swedish Road Administration that is to be sent to KVD (processing takes around 14 days). Export sales to companies outside the EU:

  • The buyer is not liable for Swedish VAT on bidding fees and on transport and other services within Sweden.
  • The buyer must present proof of corporate registration.
  • However, for purchases on collection, VAT on both goods and services must be deposited until confirmation has been obtained that the item has left Sweden.
  • The deposit on registered vehicles is always at least SEK 6,000 independent of the VAT level, but the deposit may be higher, although no greater than 25% of the sum of the total acquisition of goods and services.
  • The deposit on non-registered objects is always at least SEK 1,000 independent of the VAT level, but the deposit may be higher, although no greater than 25% of the sum of the total acquisition of goods and services.
  • If the object does not have deductible VAT, the following applies: Registered objects – SEK 6,000 deposit. Non-registered objects – no deposit.
  • The deposit is returned when KVD has obtained confirmation that the item has permanently left Sweden. KVD must have obtained this confirmation no later than 15 days after the date on the receipt.
  • The buyer must state to KVD the IBAN number, SWIFT code and the account holder’s correct name when collecting the item, so that KVD can return the deposit as soon as possible after confirmation has been obtained of the item leaving Sweden.
  • When the item is delivered, buyers or couriers must be able to identify themselves with official identification, such as a driving licence or passport.
  • If the buyer uses a courier to collect the item, the courier must have authorisation to sign the delivery confirmation slip and receipt.
  • Vehicles are equipped with Swedish number plates. Therefore under Swedish law, vehicles must be transported from KVD’s facilities on another vehicle or trailer, or be fitted with temporary number plates. The buyer can apply for such plates on a form from the Swedish Road Administration that is to be sent to KVD (processing takes around 14 days). Temporary number plates cannot, however, be issued for all vehicles. You should therefore check with KVD’s customer service what applies to the vehicle in question. A vehicle’s documents and Swedish registration certificate are handed over to the buyer or courier when the item is collected. If the item is collected with a forwarder’s warranty or similar from a freight company, a deposit is not necessary.
